These Terms of Service ("Terms") govern your access to and use of EZSauce (the "Service"), operated by EZSauce ("Company," "we," "us," "our"). By accessing or using the Service, you agree to these Terms. If you don’t agree, do not use the Service.
1) The Service
The Service helps you turn music into visual concepts and videos through a staged experience:
- Listener (Free Tier): You drop an audio file to analyze. The Service shows a waveform and estimates information such as BPM, drop timing, and mood/style suggestions.
- Gatekeeper (Sign-In): If you choose to save a project and generate storyboards, you sign in.
- Director (Storyboard + Refinement): The Service generates storyboard keyframes and allows iterative refinements.
- Payment & Delivery: You may purchase credits to render video outputs and download deliverables.
We may modify, suspend, or discontinue parts of the Service at any time.
2) Eligibility
You must be at least 13 years old to use the Service (or 16 in certain jurisdictions). By using the Service, you represent that you meet the applicable age requirement and have the legal capacity to agree to these Terms.
3) Accounts
Some features require an account. You agree to:
- provide accurate information during sign-up
- keep your account credentials secure
- promptly notify us of any unauthorized access to your account
You are responsible for activity on your account.
4) Your Content and Permissions
A) Your Content
"Your Content" includes audio files you upload, project settings, text instructions you provide, and any other materials you submit through the Service. You retain ownership of Your Content.
B) License You Grant to Us
To operate the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, modify (e.g., format/encode), and display Your Content only as necessary to:
- provide the features you request (analysis, storyboards, rendering, delivery)
- maintain, secure, and improve the Service
- comply with legal obligations
This license ends when you delete Your Content from the Service, except that:
- copies may persist for a limited time in backups/logs, and
- we may retain records as required by law.
C) Your Responsibilities
You represent and warrant that:
- you have all rights needed to upload and use Your Content (including music rights, if applicable)
- Your Content and your use of the Service do not violate any laws or rights of others
5) Acceptable Use
You agree not to:
- use the Service to violate any law or infringe others’ rights
- upload content you don’t have rights to use
- attempt to reverse engineer, interfere with, or disrupt the Service
- access the Service using automated means to scrape, overload, or abuse it
- bypass paywalls, rate limits, or access controls
- upload malware or attempt to gain unauthorized access
We may suspend or terminate access if we believe you are abusing the Service or violating these Terms.
6) Credits, Purchases, and Billing
A) Credits
Some features require credits. Credits may be used to purchase renders or other paid outputs. Prices, credit amounts, and feature requirements may change at any time.
B) Payments
Payments are processed by third-party payment providers (e.g., Stripe and/or Apple Pay). Your payments are subject to the provider’s terms as well.
C) No Refunds (Default)
All purchases are final and non-refundable unless required by law, or unless we explicitly state otherwise in writing.
D) Taxes
You are responsible for any applicable taxes unless stated otherwise.
E) Failed Charges / Fraud
We may suspend access to paid features if a charge fails, is reversed, or is suspected to be fraudulent.
7) Rendering and Outputs
A) Output Quality and Variability
The Service may generate storyboards and video outputs based on Your Content and instructions. Outputs may vary in appearance and may not match your expectations.
B) Delivery and Availability
We do not guarantee render times, uptime, or uninterrupted access. Rendering may be delayed or unavailable due to maintenance, capacity limits, third-party outages, or technical issues.
C) Output Use
You are responsible for ensuring you have the rights to use and distribute any output, especially if it incorporates third-party materials you don’t own.
8) Free Tier and Limits
We may offer free features or previews. We may impose limits (e.g., number of projects, iterations, preview quality) and change them over time.
9) Intellectual Property
The Service, including software, designs, text, graphics, logos, and all related intellectual property, is owned by the Company or its licensors and is protected by law.
These Terms do not grant you any right to use our trademarks or branding without written permission.
10) Privacy
Your use of the Service is subject to our Privacy Policy, available at: /privacy.
11) Termination
You may stop using the Service at any time. We may suspend or terminate your access if:
- you violate these Terms
- we must comply with law or protect the Service/users
- you engage in fraud or abuse
Upon termination, your right to use the Service ends. Sections that by their nature should survive will survive (including Content license for ongoing obligations, disclaimers, limitation of liability, and dispute terms).
12) Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service or any outputs will be error-free, uninterrupted, or meet your requirements.
13) Limitation of Liability
To the maximum extent permitted by law:
- we will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill.
- our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the 12 months before the event giving rise to the claim, or $100, whichever is greater.
Some jurisdictions don’t allow certain limitations, so these may not apply to you.
14) Indemnification
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
- Your Content
- your use of the Service
- your violation of these Terms or applicable law
- your infringement of any rights of a third party
15) Dispute Resolution and Governing Law
These Terms are governed by the laws of [State/Country], without regard to conflict of laws principles.
Disputes will be resolved in the courts located in [County, State/Country].
16) Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the "Last Updated" date. Your continued use of the Service after the changes means you accept the updated Terms.
